Terms of Service

1. Acceptance of Terms

By creating an account or using the Exprt.Pro platform ("Service"), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Our Role: The Marketplace Model

Exprt.Pro is a platform that connects freelance professionals ("Experts") with clients ("Clients").

  • We are not an employer: We do not employ Experts. Experts are independent contractors who run their own businesses.
  • No Agency Relationship: Nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship between Exprt.Pro and any User.
  • Contracts are between Users: When a Client hires an Expert, the contract is directly between the Client and the Expert. Exprt.Pro is not a party to that contract, although we facilitate payment.

3. "Verified Expert" Status

We award the "Verified Expert" badge to users who have undergone our identity and professional vetting process.

  • Identity Verification: We verify government-issued IDs.
  • Professional Review: We review portfolios and past work.
  • Disclaimer: While we screen for quality, Exprt.Pro does not guarantee the performance, quality, or suitability of any Expert. Clients are responsible for conducting their own interviews and due diligence before hiring.

4. Payments and Escrow

4.1. Payment Processing

All payments must be made through the Exprt.Pro platform. Utilizing the platform to find an Expert and then paying them outside the platform ("Circumvention") is a material breach of these Terms and will result in permanent account suspension.

4.2. Escrow Services

To protect both parties, funds for fixed-price projects are held in Escrow.

  • Release: Funds are released to the Expert only upon Client approval of milestones.
  • Auto-Release: If a Client does not approve or dispute a milestone submission within 14 days, funds may automatically be released to the Expert.

4.3. Disputes

In the event of a dispute:

  1. Direct Negotiation: Users agree to attempt to resolve the dispute directly for at least 7 days.
  2. Mediation: If unresolved, either party may request Exprt.Pro Mediation. Our decision in non-binding mediation is a recommendation.
  3. Arbitration: Final binding resolution will be subject to Arbitration in Lagos, Nigeria (for African disputes) or Delaware, USA (for international disputes).

5. Intellectual Property

5.1. Your Content

You retain ownership of the content you post (portfolios, job descriptions). You grant Exprt.Pro a non-exclusive license to use this content to operate and promote the Service.

5.2. Work Product

Unless otherwise agreed in a separate contract, all intellectual property rights in the delivered work product transfer to the Client upon full payment. If payment is not made, the Expert retains ownership.

6. Limitation of Liability

To the maximum extent permitted by law, Exprt.Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

  • Cap on Liability: In no event shall Exprt.Pro's aggregate liability exceed the greater of (a) $100 USD or (b) the amount you paid Exprt.Pro in the past six months.

7. Prohibited Uses

You agree not to:

  • Post false or misleading information.
  • Use the Service for any illegal purpose.
  • Harass or discriminate against other users.
  • Reverse engineer the platform.

8. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.
